    SPECIAL REWARD PROGRAM TERMS & CONDITIONS

    You have been selected by Remedio to participate in our special promotional  VIP Demo reward program. By participating in Remedio, Inc. 's (“Remedio”) demo promotional reward program (“Program”), you agree to the following terms and conditions (“Program Terms”), which form a binding contract between you and Remedio. 

     

    IF YOU DO NOT AGREE WITH THESE PROGRAM TERMS AND CONDITIONS, YOU MUST NOT ENTER THE PROGRAM.‍ ‍

    1. Eligibility. ‍The Program is available only to persons expressly invited by Remedio (through a link that will be issued by Remedio or any other means chosen by Remedio) to attend a Demo under this Program and who have attended a full Demo during the Promotion Period, and provided such person is compliant with the representations, restrictions and other terms hereunder (the “Eligible Participant”). The invitation and related invitation link is personal. You may not share or forward the invitation or invitation link to any person. An invitation and related link that was shared or forwarded will automatically become void and will not entitle any person to receive a Reward. Forwarding or sharing the invitation link will   EMPLOYEES, SERVICE PROVIDERS, CONTRACTORS, CONSULTANTS, AND AGENTS OF REMEDIO, ANY OR THEIR IMMEDIATE FAMILY OR HOUSEHOLD MEMBERS, AND GOVERNMENTAL OFFICERS OR EMPLOYEES ARE NOT ELIGIBLE TO PARTICIPATE IN THE PROGRAM. Remedio reserves the right, at its sole discretion, to determine who will be invited to participate in this Program. Nevertheless (and regardless of whether or not an invitation was sent to you) Remedion reserves the right to decline or ignore any request to attend a Demo. Remedio also reserves the right, at its sole discretion, to set the timing and medium/manner of providing the Demo and does not guarantee that such medium/timing would suit your availability. For the purpose of these terms, “Demo” means a scheduled Remedio service demonstration provided by Remedio for the purpose of offering an opportunity to evaluate its products and solutions.

     

    1. Reward. For the duration of the Promotion Period only, upon completion of a Demo, the Eligible Participant shall be entitled to receive one (1) pair of AirPods (4 generation) having the approximate retail value of US$179.00 (the “Reward”). Each Eligible Participant is eligible to receive only one Reward, regardless of the number of Demos such Eligible Participant completed. Additionally, unless otherwise determined by Remedio at its sole discretion and on a case-by-case basis, there may be only one Eligible Participant from the company or organization which you are engaged with or employed at.  . Rewards are non-transferable, non-exchangeable, and cannot be redeemed for cash or credit. Rewards will be delivered within 3 weeks after the Demo is completed. Remedio may substitute the Reward with an item of equivalent value if the Reward is unavailable. Remedio will not reimburse or replace the Reward if the Reward is damaged, or no longer accessible or restricted due to local regulations. Eligible Participants are responsible for any applicable taxes on Rewards.

     

    1. Promotion Period.  The Program begins on January 1st, 2026 and ends on March 31st, 2026 (the “Promotion Period”).‍ Remedio reserves the right to terminate the Promotion Period before the foregoing expected date of expiration. Remedio does not guarantee the number of Rewards which will be granted, nor the number of Demos which it will schedule under this Program.  

     

    1. Representations. By participating in the Program, you represent and warrant that:
      1. If you are at least of the age of majority in the jurisdiction you are located in, and at least 18 years old;
      2. You have the right to participate in the Program including having provided all necessary notices and received all necessary permissions to do so, according to any contracts or obligations applicable to you, and that your participation does not conflict or violate any corporate, organizational or other obligations, guidelines or policies you are bound by;
      3. You will not provide to Remedio any information in connection with your sign up for and participation in a Demo, including your organizational affiliation, which is knowingly misleading, incorrect, fraudulent or otherwise in violation or circumvention of these Program Terms; and
      4. Your participation in the Program is permitted under, and will comply with, all applicable laws and regulations. ALL ACTIVITIES RELATED TO THE REWARD ARE AT THE PARTICIPANTS’ OWN RISK AND SUBJECT TO WHATEVER RESTRICTIONS ARE IMPOSED BY THE ENTITIES THAT GOVERN SUCH ACTIVITIES. 

     

    1. Compliance.  Rewards offered under this Program are of nominal value and offered solely as a bona-fide marketing gratuity and are not conditioned upon any purchase, business commitment, or favorable treatment. The Program is administered in accordance with Remedio’s Code of Conduct and applicable anti-bribery and anti-corruption laws. No Reward, nor any other benefit, may be accepted or used in a manner that would constitute, or be perceived as, a bribe, kickback, or other improper inducement.

     

    1. Records and Audit. Remedio will retain documentation of each Reward granted (including participant details, demo date, and Reward value) and may audit Eligibility compliance, Demo participation and ani other necessary information to ensure compliance.

     

    1. Data Privacy.  Remedio will collect and process Eligible Person personal data (name, contact details, organizational affiliation and role, Demo request, Demo attendance and all communication exchanged during the Demo) solely for the Program administration, Reward fulfillment, compliance checks, and Program analytics. Eligible Participants personal data will also be maintained for Remedio’s marketing purposes on the basis of Remedio’s internal legitimate interest and in accordance with our Privacy Policy]  Data will be retained only as long as necessary to meet these purposes and legal obligations.     1. Limitation of Liability. To the maximum extent permitted by law, the Program and the Reward are offered on an “AS IS” “AS AVAILABLE” basis without any warranty or guarantee. Without derogating from the aforementioned, Remedio shall in no event be liable or responsible for any direct, indirect, incidental, or consequential damages arising from participation in the Program, participation or viewing of a Demo, or the Reward itself, their receipt, working condition, fitness for purpose, .

     

    1. Modification or Termination. Remedio reserves the right to modify, suspend, or terminate the Program at any time, with notice to any prospective participants or the Eligible Participants where reasonably practicable.

     

    1. Governing Law and Jurisdiction. These terms and conditions are governed by the laws of the state of Delaware. 

     

    1. Arbitration, Waiver of Jury Trial and Class Actions. All disputes arising out of or relating to these terms or the Reward Program must be resolved exclusively through final and binding individual arbitration, and not in court. You and we irrevocably waive any right to a jury trial and any right to participate in a class, collective, consolidated, or representative action. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration provision, and judgment on the award may be entered in any in the Delaware courts.
